Who this binds

This Agreement is between Unboot.me and the business accepting it — an enforcement agency, parking-compliance provider, property-services organization, field-services provider, towing or vehicle-storage company, or other approved commercial entity.

Unboot.me is the technology provider. The Contractor establishes its own legal authority to enforce or tow, verifies every action independently, and carries the operational, personnel, insurance, and chargeback responsibility that follows from its own conduct.

This Contractor & Platform Services Agreement (the “Agreement”) is entered into between Unboot.me, LLC, doing business as Unboot.me (“Unboot.me,” “we,” “us,” or “our”), and the business, agency, parking-enforcement provider, towing company, property-services provider, or other commercial entity accepting this Agreement (“Contractor,” “you,” or “your”).

Unboot.me and Contractor may each be referred to individually as a “Party” and collectively as the “Parties.”

By electronically accepting this Agreement, executing an order form or other document incorporating it, creating or maintaining an authorized business account, or accessing the applicable commercial features of the Unboot.me platform after being presented with this Agreement, Contractor agrees to be legally bound by its terms.

Part Scope and definitions
01

Purpose and scope

Unboot.me provides a technology platform designed to document, coordinate, administer, and maintain records concerning private-property parking compliance, including warnings, citations where lawfully permitted, vehicle immobilization, payment processing or payment facilitation, motorist communications, dispute administration, tow dispatch coordination, vehicle-release records, reports, and related operational functions.

Contractor may use the Platform in one or more authorized capacities, including as:

1. an enforcement agency or parking-compliance business;
2. a property-management or authorized property-services organization;
3. a field-services provider;
4. a towing or vehicle-storage provider;
5. an independent commercial service provider; or
6. another role expressly approved by Unboot.me.

Contractor’s obligations under this Agreement apply according to the functions Contractor actually performs.

Nothing in this Agreement authorizes Contractor to perform any activity that is prohibited by law, beyond Contractor’s licenses or contractual authority, outside an authorized property, or inconsistent with the rights granted by a property owner or other legally authorized party.

Part Roles and responsibility
03

Unboot.me’s role

3.1 Technology provider

Unboot.me provides software, electronic documentation, workflow management, communications, payment-related technology, evidence-management functions, dispute administration, and related services.

Except where Unboot.me separately agrees in writing to perform a specific operational service, Unboot.me does not itself patrol parking facilities, select vehicles for enforcement, physically issue warnings, install immobilization devices, remove immobilization devices, operate tow trucks, impound vehicles, store vehicles, or make the underlying property-level decision that an Enforcement Action is legally authorized.

3.2 Contractor retains operational responsibility

Contractor is exclusively responsible for determining, before initiating an Enforcement Action, that:

a. Contractor has lawful authority to act;
b. the applicable Property has authorized the activity;
c. required parking rules, notices, signs, permits, contracts, or disclosures are in place;
d. the identified vehicle is subject to the applicable rule;
e. the location is within Contractor’s authorized enforcement area;
f. applicable waiting periods or notice requirements have been satisfied;
g. the Enforcement Action and amount charged are permitted by applicable law; and
h. Contractor’s personnel are properly trained, licensed, authorized, and insured.
3.3 Platform controls do not create legal authority

Geofencing, GPS verification, plate recognition, account permissions, warning messages, dashboards, artificial-intelligence features, automated checks, property profiles, or other technical controls are intended to assist operations.

They do not constitute a legal determination by Unboot.me that a particular Enforcement Action is lawful.

Contractor may not rely on Platform availability, a geofence, GPS result, plate-recognition result, prior record, property configuration, or other automated output as a substitute for Contractor’s independent verification.

3.4 No governmental authority

Unless expressly identified otherwise, Unboot.me is a private technology provider. Use of the Platform does not convert Unboot.me or Contractor into a governmental agency, law-enforcement authority, court, administrative tribunal, or public parking authority. Contractor shall not represent otherwise.

Part Eligibility and relationship
04

Contractor eligibility and representations

Contractor represents, warrants, and covenants throughout the Term that:

1. Contractor is duly organized, validly existing, and authorized to conduct its business;
2. the person accepting this Agreement has legal authority to bind Contractor;
3. Contractor holds all licenses, registrations, permits, certifications, insurance, and approvals required for its activities;
4. all information provided to Unboot.me is accurate, current, and complete;
5. Contractor is not prohibited by law from performing the contemplated services;
6. Contractor will use the Platform only for legitimate business purposes;
7. Contractor will not knowingly submit false, deceptive, fabricated, altered, or misleading records;
8. Contractor has lawful authority to provide Contractor Data to Unboot.me;
9. Contractor will comply with all applicable contractual obligations owed to property owners and other third parties; and
10. Contractor will immediately notify Unboot.me if any material representation in this Section becomes inaccurate.
05

Independent contractor relationship

5.1 No employment relationship

The Parties are independent businesses.

Nothing in this Agreement creates an employer-employee relationship, partnership, franchise, fiduciary relationship, joint venture, general agency, or other relationship permitting either Party to bind the other except where expressly stated.

Contractor is solely responsible for recruiting, hiring, supervising, scheduling, compensating, disciplining, terminating, and directing Contractor’s personnel.

5.2 Contractor personnel

Individuals working for Contractor are not employees of Unboot.me solely because they use the Platform, receive Platform notifications, follow documentation requirements, comply with security rules, or operate within Platform workflows.

Contractor is solely responsible for wages, payroll taxes, benefits, workers’ compensation, unemployment obligations, employment eligibility, workplace requirements, and worker classification relating to its personnel.

5.3 No authority to bind Unboot.me

Contractor may not:

enter into agreements on behalf of Unboot.me;
make warranties on behalf of Unboot.me;
represent itself as an employee or agent of Unboot.me;
incur liabilities in Unboot.me’s name; or
make governmental, legal, regulatory, or financial representations on behalf of Unboot.me.
Part Property and enforcement
06

Property and enforcement authority

Before conducting Enforcement Actions at a Property, Contractor must possess and maintain documented authority sufficient under applicable law and contract.

Such authority may include a written property-management agreement, parking-enforcement agreement, owner authorization, security-services agreement, towing authorization, lease provision, parking policy, or other legally sufficient authorization.

Upon request, Contractor shall promptly provide evidence of such authority to Unboot.me.

Unboot.me may suspend a Property or Contractor account if Unboot.me reasonably questions Contractor’s authority to operate there.

07

Signage, policies, and notice

Contractor is responsible for ensuring that each Property has legally sufficient parking rules, signage, notices, markings, permits, disclosures, or other prerequisites required in the applicable jurisdiction.

Contractor is responsible for determining:

where signs must be located;
required sign dimensions;
required lettering or visibility;
required statutory language;
required towing or immobilization disclosures;
required telephone numbers;
fee disclosures;
hours of enforcement;
grace periods;
required property-owner information;
accessibility requirements; and
any local registration or posting requirements.

Templates, examples, guidance, decals, signs, or educational materials provided by Unboot.me are informational tools and are not a substitute for jurisdiction-specific legal review.

08

Enforcement standards

Contractor shall ensure that each Enforcement Action is performed professionally, safely, accurately, and lawfully.

Before creating or finalizing an Enforcement Record, the field operator must make reasonable efforts to verify:

1. the correct vehicle;
2. the correct license plate and issuing jurisdiction;
3. the applicable Property;
4. the vehicle’s physical location;
5. the applicable parking rule or violation;
6. Contractor’s authority;
7. applicable exemptions;
8. required notice or grace periods; and
9. any other facts material to the Enforcement Action.
Part Documentation and conduct
09

Photographic and record documentation

Contractor shall capture and preserve evidence reasonably sufficient to document each Enforcement Action.

Where applicable, this should include:

license-plate photograph;
vehicle photograph;
photograph demonstrating the relevant violation or condition;
pre-immobilization photograph;
post-immobilization photograph;
applicable decal or notice;
vehicle location;
relevant signage where appropriate;
timestamps;
operator identity;
property identity;
notes regarding unusual circumstances; and
information otherwise required by law.

Contractor shall not intentionally obscure relevant facts or selectively document circumstances for the purpose of creating a misleading record.

10

Plate recognition and automated tools

The Platform may use optical character recognition, artificial intelligence, historical records, or other technology to assist with vehicle identification.

Contractor acknowledges that automated tools can produce errors.

The field operator remains responsible for visually confirming the license plate and material vehicle information before taking an Enforcement Action.

Contractor shall not knowingly proceed with an Enforcement Action based solely on an automated result that conflicts with observable facts.

11

Record accuracy and integrity

Contractor acknowledges that Enforcement Records may later be reviewed by:

Motorists;
property owners;
Contractor administrators;
Unboot.me;
Payment Processors;
card issuers;
insurers;
attorneys;
courts;
arbitrators;
government agencies; or
other persons legally entitled to the records.

Contractor shall therefore treat every Enforcement Record as a potentially consequential business record.

Contractor shall not falsify, backdate, manipulate, improperly delete, fabricate, or instruct another person to manipulate an Enforcement Record.

Where the Platform restricts modification of timestamps, payment records, UB.me IDs, audit records, or other system-generated information, Contractor shall not attempt to circumvent those restrictions.

12

Motorist treatment and professional conduct

Contractor and its personnel shall interact with Motorists professionally.

Contractor shall not engage in:

threats not authorized by law;
physical intimidation;
discriminatory conduct;
harassment;
retaliation;
knowingly false statements;
deceptive representations;
impersonation of law enforcement;
demands for unrecorded side payments;
coercive payment practices;
destruction of property;
unauthorized entry into a vehicle;
improper disclosure of personal information; or
conduct reasonably likely to create unnecessary risk to persons or property.

Nothing prohibits a Contractor from accurately describing lawful consequences authorized under applicable rules.

Part Fees and payment processing
13

Fees and amounts charged to Motorists

Contractor is responsible for ensuring that all parking-related, immobilization, citation, towing, storage, administrative, release, or other charges established or directed by Contractor comply with applicable law and contractual authority.

Contractor shall not use the Platform to:

1. impose prohibited fees;
2. disguise prohibited charges;
3. collect amounts exceeding applicable legal limits;
4. duplicate charges;
5. collect an amount Contractor knows is not owed; or
6. misrepresent the identity or purpose of a charge.

Where Contractor configures fees through the Platform, Contractor’s configuration does not constitute Unboot.me approval of the legality of those fees.

14

Payment processing

14.1 Payment facilitation

The Platform may enable Motorists or other users to make electronic payments using one or more independent Payment Processors.

Contractor authorizes Unboot.me to transmit transaction information to Payment Processors and to take commercially reasonable actions necessary to facilitate, reconcile, document, refund, reverse, defend, settle, or otherwise administer such transactions.

14.2 Processor rules

Payment transactions remain subject to:

Payment Processor agreements;
acquiring-bank requirements;
card-network rules;
fraud controls;
dispute programs;
reserve requirements;
regulatory obligations; and
other financial-institution requirements.

If this Agreement conflicts with a mandatory Payment Processor or card-network requirement concerning payment processing, that requirement controls with respect to the Payment Processor or network.

The contractual allocation of liability between Contractor and Unboot.me remains effective to the maximum extent permitted.

14.3 Merchant-of-record configuration

Depending on the applicable payment configuration, Unboot.me, Contractor, or a third-party payment facilitator may appear as or function as the merchant of record, payee, platform, submerchant, connected account, or other payment participant.

Such designation does not alter Contractor’s responsibility under this Agreement for an unlawful, inaccurate, unauthorized, or improperly documented underlying Enforcement Action.

14.4 No banking relationship

Unless expressly stated in a separate written agreement, Unboot.me does not provide Contractor with a bank account, deposit account, escrow account, credit facility, or fiduciary financial service.

15

Payment authorization and records

Contractor authorizes Unboot.me to maintain transaction-related records reasonably necessary for:

processing;
settlement;
payout;
reconciliation;
fraud prevention;
refunds;
receipts;
Chargebacks;
legal compliance;
accounting;
dispute handling; and
audit purposes.

Contractor acknowledges that Platform records may include transaction date and time, payment status, payment method information received from a processor, payer contact information, device or network information where lawfully obtained, location-verification evidence, Motorist communications, receipts, and Enforcement Records.

Part Chargebacks and reserves
16

Chargebacks and payment disputes

16.1 Chargebacks are not automatically Unboot.me’s liability

A Chargeback initiated against a payment does not establish that Unboot.me acted improperly or that the underlying Enforcement Action was invalid.

As between Contractor and Unboot.me, responsibility for a Chargeback will be allocated according to the facts and this Agreement.

16.2 Contractor-responsible chargebacks

Contractor is financially responsible for any Chargeback, reversal, assessment, refund, processor loss, network penalty, investigation expense, or associated cost arising from or materially related to:

a. an unauthorized or unlawful Enforcement Action;
b. insufficient property authority;
c. legally deficient signage or required notice;
d. incorrect plate, vehicle, Property, location, violation, amount, or other Contractor-supplied information;
e. Contractor’s failure to perform an agreed service;
f. improper immobilization, towing, storage, or release;
g. prohibited or excessive fees;
h. Contractor fraud, misconduct, negligence, or misrepresentation;
i. a promise or representation made by Contractor to a Motorist that conflicts with Platform records or applicable terms;
j. Contractor’s failure to produce requested evidence;
k. Contractor’s failure to respond within required Chargeback deadlines;
l. Contractor’s violation of applicable law or processor rules;
m. Motorist allegations that are substantiated by Contractor’s own records;
n. duplicate or unauthorized collection initiated by Contractor; or
o. any other circumstance primarily attributable to Contractor.
16.3 Unboot.me-responsible payment errors

To the extent directly caused solely by a verified technical or payment-processing error attributable to Unboot.me, rather than Contractor, a Motorist, a Payment Processor, a card issuer, or a third party, Unboot.me will be responsible only as expressly provided in this Agreement and subject to its limitation-of-liability provisions.

16.4 Contractor cooperation

Upon notification of a Chargeback or payment inquiry, Contractor shall provide requested information within two (2) business days, or sooner when required by the applicable Payment Processor deadline.

Requested evidence may include:

Property authorization;
parking policies;
photographs;
signage photographs;
Enforcement Records;
operator statements;
tow documentation;
vehicle-release records;
Motorist communications;
service logs;
timestamps;
contracts;
fee schedules;
refund communications; or
any other evidence reasonably relevant to the dispute.

Failure to respond timely may cause Contractor to bear the resulting Chargeback regardless of whether the dispute might otherwise have been defensible.

16.5 Evidence submission authority

Contractor authorizes Unboot.me to compile, format, disclose, and submit relevant information to Payment Processors, acquiring banks, issuing banks, card networks, fraud-prevention providers, and other entities involved in a Chargeback. This may include relevant Platform-generated:

photographs;
timestamps;
transactional information;
payer information;
terms accepted at payment;
communications;
IP or device information where lawfully available;
location-verification information;
maps;
audit history;
enforcement details;
payment records; and
receipts.

Unboot.me may redact information not reasonably necessary for the dispute.

16.6 No guarantee of chargeback outcome

Contractor acknowledges that the ultimate disposition of a Chargeback may be controlled by an issuing bank, Payment Processor, card network, arbitrator, or other third party.

Unboot.me does not guarantee that any Chargeback will be won.

16.7 No improper interference with cardholder rights

Nothing in this Agreement prohibits a Motorist from exercising lawful rights with a card issuer or financial institution.

Contractor shall not falsely tell a Motorist that a bank dispute is illegal, unavailable, prohibited, or incapable of succeeding. Contractor may accurately direct Motorists to Unboot.me’s dispute process and encourage resolution through the Platform.

17

Reserves, setoff, withholding, and negative balances

To the extent permitted by law and applicable Payment Processor rules, Contractor authorizes Unboot.me or its Payment Processor to withhold, offset, deduct, or reserve amounts otherwise payable to Contractor when reasonably necessary to cover:

pending Chargebacks;
reversals;
refunds;
processor assessments;
fines;
negative balances;
suspected fraud;
duplicate payments;
Contractor indemnity obligations;
payment investigations;
legal orders; or
amounts Contractor owes under this Agreement.

If available balances are insufficient, Contractor shall reimburse the outstanding amount within five (5) business days after demand.

Unboot.me may maintain a commercially reasonable reserve where Contractor’s transaction history, Chargeback rate, complaint history, legal status, or operating conduct creates elevated payment risk.

No reserve constitutes ownership by Unboot.me of Contractor funds beyond amounts lawfully due or subject to processor requirements.

18

Refunds and credits

Refunds shall be administered according to:

1. applicable law;
2. Unboot.me’s applicable Motorist payment terms;
3. Payment Processor requirements;
4. the underlying facts;
5. the responsible Agency’s lawful policies; and
6. this Agreement.

Contractor may not promise a refund and simultaneously instruct Unboot.me to oppose that refund.

Contractor must promptly report any refund promise, settlement, duplicate collection, incorrect amount, or acknowledged operational error.

Unboot.me may issue or facilitate a refund without Contractor’s prior approval when reasonably necessary to:

comply with law;
comply with a Payment Processor;
correct a verified processing error;
honor an authorized dispute resolution;
prevent material financial loss;
remedy duplicate payment; or
address demonstrable fraud or misconduct.

Where the refund arises from Contractor’s conduct or responsibility, Contractor bears the associated financial cost.

Part Disputes and evidence
19

Motorist dispute administration

19.1 Unboot.me dispute administration

Unboot.me may receive, organize, investigate, communicate regarding, administer, and coordinate Motorist disputes concerning records processed through the Platform. Contractor authorizes Unboot.me to communicate directly with Motorists concerning those disputes.

19.2 Contractor cooperation

Contractor shall provide all requested information and reasonable cooperation necessary for Unboot.me to investigate a dispute. Contractor shall not:

delete relevant records;
retaliate against a Motorist for disputing an action;
fabricate supporting evidence;
pressure a Motorist to withdraw a truthful complaint;
interfere with Unboot.me’s investigation; or
provide materially inconsistent information to Unboot.me and a Motorist.
19.3 Underlying legal authority remains Contractor’s responsibility

Unboot.me’s administration of a dispute does not transfer to Unboot.me the Contractor’s underlying legal responsibility for the Enforcement Action.

Unless applicable law or a separate written delegation expressly provides otherwise, Contractor remains responsible for the legality and factual basis of the original Enforcement Action.

19.4 Corrective actions

Where the available evidence reasonably indicates an error, Unboot.me may request or implement an appropriate administrative correction, including closing a Platform record, documenting a resolution, facilitating a refund, updating a dispute status, or correcting non-substantive data. Such action does not constitute an admission of wrongdoing by Unboot.me.

20

Location-confirmation evidence

The Platform may permit a Motorist or payer to provide device-location information in connection with a payment or case interaction.

Contractor acknowledges:

1. location information may be unavailable or inaccurate;
2. Motorists may deny or restrict location permission;
3. a device may not be physically held by the vehicle owner;
4. GPS measurements have technical tolerances;
5. a location mismatch does not automatically prove fraud;
6. a location match does not independently establish the legality of an Enforcement Action; and
7. Unboot.me may maintain location-related evidence for fraud, dispute, compliance, and transaction-defense purposes where lawful.

Contractor shall not misrepresent location-confirmation information as infallible.

Part Towing, storage and safety
21

Tow requests

If Contractor initiates a tow request, Contractor represents that the request is authorized and lawful.

Contractor must ensure that all prerequisites for towing have been satisfied before dispatch.

A Tow Partner’s acceptance of a request does not cure a legally defective tow authorization.

Unboot.me’s transmission of a request is a technology function and does not constitute independent authorization by Unboot.me to seize or remove a vehicle.

22

Tow Partner obligations

A Contractor operating as a Tow Partner additionally agrees to:

1. maintain all required towing licenses and registrations;
2. maintain all legally required tow-truck permits;
3. maintain properly insured and maintained vehicles and equipment;
4. employ or engage appropriately licensed drivers;
5. comply with applicable private-property towing statutes and ordinances;
6. verify the vehicle before removal;
7. transport vehicles safely;
8. use only authorized storage locations;
9. document pickup, transport, storage, and release;
10. comply with maximum towing and storage fee requirements;
11. comply with lawful release-hour requirements;
12. honor legally required payment methods;
13. issue legally required receipts;
14. protect personal property remaining in vehicles;
15. comply with lien and abandoned-vehicle procedures where applicable;
16. maintain required records; and
17. promptly report accidents, damage, theft, complaints, or law-enforcement involvement.
23

Vehicle damage

Contractor is solely responsible for damage to a vehicle or other property caused by Contractor’s or its personnel’s installation, removal, towing, loading, transport, storage, release, equipment, negligence, recklessness, or intentional conduct.

Contractor must promptly document and notify Unboot.me of any allegation of vehicle damage connected to an Enforcement Record.

Unboot.me’s documentation of a damage allegation does not constitute an admission of liability.

24

Vehicle storage and release

A Tow Partner is solely responsible for lawful custody and storage of a vehicle after pickup. The Tow Partner must:

store the vehicle at an authorized facility;
maintain accurate custody records;
safeguard the vehicle;
comply with applicable access and release requirements;
charge only lawful fees;
accurately document the person receiving the vehicle;
comply with lawful identity-verification requirements;
document release date and time; and
provide any required release paperwork.

Where the Platform identifies an unpaid citation or another status that may affect release, Tow Partner must still independently comply with applicable law.

A Platform restriction cannot lawfully authorize a Tow Partner to retain a vehicle when applicable law requires its release.

The Tow Partner must contact the responsible Agency or Unboot.me if Platform instructions appear inconsistent with law.

25

Safety

Contractor is solely responsible for establishing safe operating procedures appropriate to Contractor’s work.

Contractor shall not undertake an Enforcement Action when doing so would create an unreasonable and avoidable risk of bodily injury.

Contractor shall maintain equipment in safe working condition and follow applicable occupational-safety and transportation requirements.

Part Personnel and accounts
26

Personnel, training, and background requirements

Contractor is responsible for determining the qualifications appropriate for its personnel.

At a minimum, Contractor shall train Authorized Users regarding:

lawful parking enforcement;
applicable Property rules;
Platform use;
documentation;
privacy;
data security;
Motorist interaction;
de-escalation where relevant;
vehicle safety;
incident reporting;
evidence integrity; and
role-specific legal requirements.

Contractor shall maintain training records where reasonably appropriate.

Unboot.me may provide supplemental Platform training but is not responsible for providing Contractor’s legally required occupational training.

27

Authorized User accounts

Contractor is responsible for activity conducted under its Authorized User accounts. Contractor shall:

1. permit access only to authorized personnel;
2. maintain accurate user roles;
3. promptly disable former personnel;
4. prohibit credential sharing;
5. protect authentication methods;
6. maintain reasonable device security;
7. promptly report suspected unauthorized access; and
8. ensure users follow this Agreement.

Contractor may not permit one person to impersonate another Authorized User.

Part Privacy and data security
28

Privacy and personal information

Contractor shall process personal information only for legitimate and lawful business purposes relating to authorized parking-compliance activities.

Contractor may not use Platform information for unrelated purposes such as:

personal investigations;
stalking;
harassment;
retaliation;
unauthorized marketing;
unlawful surveillance;
locating individuals for personal reasons;
profiling unrelated to legitimate parking operations; or
resale of personal information.

Contractor is responsible for providing notices and obtaining permissions required for Contractor’s independent collection and use of personal information.

Where Unboot.me processes information on Contractor’s behalf, each Party shall comply with applicable privacy laws according to its respective legal role.

29

Data security

Contractor shall maintain reasonable administrative, technical, and physical safeguards appropriate to the information Contractor accesses. At a minimum, Contractor shall:

use unique credentials;
restrict access by business need;
use secure devices;
install reasonably current security updates;
protect downloaded records;
avoid unnecessary local storage;
secure printed records;
appropriately dispose of records;
train personnel;
promptly revoke access after personnel changes; and
report suspected compromise without unreasonable delay.

Contractor shall not attempt to defeat Platform security, access another Agency’s information, circumvent role restrictions, scrape restricted information, discover vulnerabilities without authorization, or interfere with Platform security controls.

30

Security incidents

Contractor shall notify Unboot.me without unreasonable delay, and in no event later than twenty-four (24) hours after confirming a security incident.

Notification is required for any incident that reasonably may involve:

Unboot.me credentials;
Platform information;
Enforcement Records;
Motorist personal information;
payment information;
confidential information; or
unauthorized Platform access.

Contractor shall cooperate with investigation, containment, remediation, notification, and legally required response measures.

Contractor shall not make a public statement attributing a security incident to Unboot.me without a reasonable factual basis.

31

Payment-card security

Contractor shall not request, store, photograph, transmit, or enter full payment-card numbers, card security codes, payment credentials, or other sensitive authentication information into general Platform notes, photographs, dispute attachments, messages, or unrelated fields.

Where Contractor separately handles cardholder data, Contractor is solely responsible for applicable payment-card security obligations.

Contractor shall use only authorized payment interfaces.

33

Platform-generated records

The Platform may create system-generated information including timestamps, audit entries, transaction statuses, event histories, UB.me IDs, notification logs, and technical records.

Contractor agrees that such records may be relied upon for legitimate business, evidentiary, payment, audit, and dispute purposes, subject to applicable evidentiary law.

Nothing in this Agreement guarantees that any particular record will be admitted into evidence by a court or tribunal.

34

Ownership of data

As between the Parties, Contractor retains its rights in Contractor Data, subject to applicable law and third-party rights.

Contractor grants Unboot.me a nonexclusive, worldwide license during the Term and for the legally permissible retention period thereafter to host, reproduce, process, transmit, analyze, display, secure, archive, disclose, and otherwise use Contractor Data as reasonably necessary to:

provide the Platform;
administer Enforcement Records;
process transactions;
handle Motorist disputes;
defend Chargebacks;
provide customer support;
maintain security;
prevent fraud;
comply with legal obligations;
maintain audit records;
enforce agreements; and
protect the rights and safety of users and third parties.

Unboot.me may create aggregated or de-identified information that does not reasonably identify Contractor, a Motorist, or another individual and may use such information for lawful business purposes.

Part Confidentiality and IP
35

Confidentiality

Each Party may receive nonpublic business, technical, operational, security, pricing, financial, customer, or strategic information of the other Party (“Confidential Information”). The receiving Party shall:

1. use Confidential Information only as necessary for the relationship;
2. protect it using reasonable safeguards;
3. disclose it only to personnel with a legitimate need to know;
4. require those persons to protect it; and
5. not disclose it to third parties except as authorized or legally required.

Confidential Information does not include information that the receiving Party can establish:

became public without breach;
was already lawfully known;
was independently developed; or
was lawfully received without confidentiality restriction.
36

Unboot.me intellectual property

Unboot.me and its licensors retain all rights in and to:

the Platform;
software;
source code;
APIs;
workflows;
designs;
databases;
documentation;
trademarks;
logos;
trade dress;
domain names;
reports;
templates;
algorithms;
configurations; and
other proprietary technology.

Contractor receives only a limited, revocable, nonexclusive, nontransferable right to access and use the Platform during the Term for authorized business purposes.

Contractor shall not reverse engineer, reproduce, resell, sublicense, copy, circumvent, or commercially exploit the Platform except as expressly authorized by law or written permission.

37

Unboot.me brand

Contractor may not imply that:

Unboot.me owns Contractor;
Unboot.me employs Contractor personnel;
Contractor is an exclusive Unboot.me representative;
Unboot.me authorized a specific Enforcement Action; or
Unboot.me guarantees Contractor’s legal compliance.

Use of Unboot.me trademarks, decals, logos, or branded materials must comply with Unboot.me brand requirements.

Unboot.me may revoke trademark permission upon termination or misuse.

Part Insurance and indemnity
38

Taxes

Contractor is responsible for all taxes imposed on Contractor’s business, personnel, earnings, property, and operations except taxes imposed directly on Unboot.me’s net income.

Nothing in this Agreement creates an obligation for Unboot.me to withhold payroll taxes for Contractor’s personnel unless legally required.

39

Insurance

Throughout the Term, Contractor shall maintain insurance appropriate to its activities and no less than required by applicable law.

Unless Unboot.me approves otherwise in writing, an Enforcement Contractor should maintain, as applicable:

Commercial general liability
At least $1,000,000 per occurrence and $2,000,000 aggregate.
Commercial automobile liability
At least $1,000,000 combined single limit where vehicles are used in Contractor operations.
Workers’ compensation
Statutory limits as required by law.
Employer’s liability
At least $500,000 or the applicable statutory requirement.

Where Contractor performs towing or vehicle-storage services, Contractor shall additionally maintain commercially reasonable:

on-hook towing coverage;
garagekeepers legal liability coverage;
cargo or vehicle-in-custody coverage;
commercial automobile coverage; and
any state-mandated towing insurance.

Unboot.me may require higher limits based on Contractor’s risk profile or applicable enterprise requirements. Upon request, Contractor shall provide certificates of insurance.

Where commercially available and reasonably requested, Contractor shall name Unboot.me and its applicable affiliates as additional insureds for liability arising from Contractor’s operations.

40

Contractor indemnification

To the fullest extent permitted by law, Contractor shall defend, indemnify, and hold harmless Unboot.me, its affiliates, owners, directors, officers, employees, contractors, licensors, Payment Processors, successors, and assigns (“Unboot.me Indemnified Parties”) from and against third-party claims, demands, investigations, proceedings, losses, liabilities, judgments, settlements, penalties, fines, damages, costs, and reasonable attorneys’ fees arising out of or relating to:

1. Contractor’s Enforcement Actions;
2. unauthorized or unlawful warnings, citations, immobilizations, or towing;
3. improper signage or Property authorization;
4. Contractor’s violation of law;
5. excessive or prohibited fees;
6. bodily injury or death caused by Contractor;
7. vehicle or property damage caused by Contractor;
8. towing, transportation, storage, custody, or release of a vehicle;
9. Contractor personnel;
10. employment or worker-classification claims involving Contractor personnel;
11. Contractor’s taxes or compensation obligations;
12. Contractor’s misuse of personal information;
13. Contractor security incidents;
14. Contractor’s breach of confidentiality;
15. Contractor fraud or misconduct;
16. infringement arising from materials supplied by Contractor;
17. false or misleading Contractor Data;
18. Contractor’s breach of this Agreement;
19. Chargebacks for which Contractor is responsible under this Agreement;
20. violation of a Motorist’s legally protected rights; or
21. a representation made by Contractor that Unboot.me did not authorize.

Contractor’s obligations under this Section are not reduced merely because a claim names Unboot.me as a defendant based upon Unboot.me’s role as technology provider.

41

Indemnification procedure

An Unboot.me Indemnified Party seeking indemnification shall provide reasonably prompt notice of the claim where practicable.

Failure to provide immediate notice does not relieve Contractor except to the extent Contractor is materially prejudiced.

Contractor may control the defense using competent counsel reasonably acceptable to Unboot.me. Contractor may not settle a matter in a manner that:

admits wrongdoing by an Unboot.me Indemnified Party;
imposes nonmonetary obligations on an Unboot.me Indemnified Party;
restricts Unboot.me’s operations; or
fails to provide a complete release,

without Unboot.me’s written consent. Unboot.me may participate using counsel of its choice.

42

Limited Unboot.me IP indemnity

Subject to this Agreement’s limitations, Unboot.me will defend Contractor against a third-party claim alleging that Contractor’s authorized use of the unmodified Platform directly infringes a United States patent, copyright, or trademark.

This obligation does not apply to claims arising from:

Contractor Data;
unauthorized modifications;
use contrary to documentation;
combination with third-party products where the claim would not otherwise exist;
continued use after Unboot.me provides a non-infringing alternative; or
Contractor’s own goods, services, marks, or activities.

Unboot.me may modify, replace, or discontinue an allegedly infringing feature.

This Section states Contractor’s exclusive contractual remedy for third-party intellectual-property infringement by the Platform.

Part Warranties and liability
43

Disclaimer of warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE.”

UNBOOT.ME DISCLAIMS IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT EXCEPT AS EXPRESSLY PROVIDED.

UNBOOT.ME DOES NOT WARRANT THAT:

EVERY ENFORCEMENT ACTION IS LAWFUL;
CONTRACTOR HAS ADEQUATE PROPERTY AUTHORITY;
EVERY PLATE-RECOGNITION RESULT IS ACCURATE;
EVERY GPS RESULT IS PRECISE;
EVERY MOTORIST WILL PAY;
EVERY PAYMENT WILL AVOID A CHARGEBACK;
EVERY CHARGEBACK WILL BE WON;
EVERY TOW PARTNER WILL PERFORM AS EXPECTED;
EVERY NOTIFICATION WILL BE DELIVERED;
THE PLATFORM WILL BE COMPLETELY ERROR-FREE; OR
THE PLATFORM WILL SATISFY EVERY STATE OR LOCAL PARKING-ENFORCEMENT REQUIREMENT WITHOUT CONTRACTOR CONFIGURATION OR REVIEW.
44

Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, UNBOOT.ME WILL NOT BE LIABLE TO CONTRACTOR FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, LOSS OF GOODWILL, OR LOSS OF BUSINESS OPPORTUNITY, EVEN IF ADVISED OF THE POSSIBILITY.

EXCEPT FOR LIABILITY THAT CANNOT LAWFULLY BE LIMITED, UNBOOT.ME’S AGGREGATE LIABILITY ARISING FROM OR RELATING TO THIS AGREEMENT WILL NOT EXCEED THE GREATER OF:

1. THE FEES PAID DIRECTLY BY CONTRACTOR TO UNBOOT.ME DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO LIABILITY; OR
2. $1,000.

Contractor’s payment obligations, indemnification obligations, Chargeback liabilities, confidentiality obligations, intellectual-property violations, fraud, willful misconduct, privacy violations, data-security breaches, and liabilities for bodily injury or property damage caused by Contractor are not subject to the foregoing Contractor-side limitation.

Part Audit and compliance
45

Audit and compliance review

Unboot.me may reasonably review Contractor’s compliance with this Agreement. Contractor shall cooperate with reasonable requests concerning:

authorization;
licensing;
insurance;
signage;
training;
Enforcement Records;
security;
Chargebacks;
complaints;
towing;
privacy;
processor inquiries; and
regulatory matters.

Where Unboot.me reasonably suspects fraud, serious illegality, safety risk, or material noncompliance, Unboot.me may immediately restrict relevant Platform functions while conducting a review.

47

Compliance with law

Contractor shall comply with all laws applicable to its activities, including where applicable laws governing:

private-property parking enforcement;
vehicle immobilization;
towing;
vehicle storage;
signage;
consumer protection;
unfair or deceptive acts;
payment processing;
privacy;
cybersecurity;
employment;
accessibility;
communications;
taxes;
business licensing;
insurance;
recordkeeping; and
property management.

If applicable law imposes a higher standard than this Agreement, Contractor shall follow the higher legal standard.

48

Anti-bribery and improper payments

Contractor shall not offer, solicit, authorize, accept, or provide any unlawful bribe, kickback, secret commission, or improper payment in connection with the Platform.

Contractor shall not structure parking-enforcement practices primarily to generate improper fees through deceptive or unlawful conduct.

49

No credit reporting or collection representation

Unless expressly authorized in a separate written agreement and permitted by law, Contractor shall not use Unboot.me or Platform information to:

furnish information to a consumer-reporting agency;
represent that Unboot.me is a debt collector;
threaten credit-reporting consequences;
misrepresent an unpaid parking-related amount as a governmental fine; or
take collection actions not legally authorized.
Part Suspension and termination
50

Suspension

Unboot.me may immediately suspend some or all Contractor access where reasonably necessary because of:

1. suspected fraud;
2. unlawful enforcement;
3. significant Chargeback activity;
4. safety concerns;
5. payment-processor requirements;
6. security threats;
7. unauthorized access;
8. expired licenses or insurance;
9. false account information;
10. regulatory concerns;
11. material breach;
12. nonpayment;
13. misuse of personal information; or
14. conduct reasonably likely to expose Unboot.me or others to material liability.

Suspension does not waive Contractor’s outstanding obligations.

51

Term and termination

This Agreement begins when accepted and continues until terminated.

Either Party may terminate the commercial relationship according to any applicable order form or, if no separate term applies, upon thirty (30) days’ written notice.

Unboot.me may terminate immediately for material breach, fraud, illegality, serious safety risk, abuse, security compromise, processor requirement, or repeated violations.

52

Effect of termination

Upon termination:

Contractor’s Platform license ends;
Contractor shall cease representing any affiliation beyond historical fact;
outstanding fees remain due;
Chargebacks and negative balances remain payable;
records may be retained where legally or operationally necessary;
legal holds remain effective;
Unboot.me may continue handling pre-termination disputes and Chargebacks; and
provisions intended by their nature to survive will survive.

Termination does not erase historical Enforcement Records merely because Contractor no longer uses the Platform.

53

Survival

The following provisions survive termination to the extent applicable:

payment obligations;
Chargeback obligations;
refunds and reserves;
confidentiality;
data rights necessary for retention and legal compliance;
intellectual property;
indemnification;
limitation of liability;
dispute resolution;
record preservation;
governing law; and
obligations arising from events occurring before termination.
Part General provisions
54

Nonexclusivity

Unless expressly agreed otherwise in writing, neither Party is required to deal exclusively with the other.

Contractor may use competing services, and Unboot.me may provide services to Contractor’s competitors.

Contractor may not misuse Unboot.me Confidential Information or intellectual property in doing so.

55

Assignment and subcontracting

Contractor may not assign this Agreement without Unboot.me’s prior written consent, except in connection with a bona fide merger or sale of substantially all Contractor assets where the successor assumes Contractor’s obligations and is legally qualified to perform the services.

Contractor remains responsible for subcontractors it uses. A subcontract does not relieve Contractor of liability.

56

Notices

Legal notices to Unboot.me shall be sent to:

Unboot.me · Attn: Legal · 3423 Piedmont Rd NE, Atlanta, GA 30305 · legal@unboot.me

Operational notices may be delivered through the Platform, account email, or other designated communications channel.

Contractor is responsible for maintaining current contact information.

57

Dispute resolution between Contractor and Unboot.me

57.1 Good-faith business resolution

Before commencing formal proceedings, a Party shall provide written notice describing the dispute and allow at least thirty (30) days for good-faith business resolution, unless emergency relief is reasonably required.

57.2 Binding arbitration

Except for claims expressly excluded below, any dispute arising from or relating to this Agreement or the commercial relationship between Contractor and Unboot.me shall be resolved by binding arbitration administered by the American Arbitration Association (“AAA”) under its Commercial Arbitration Rules.

The arbitration shall be conducted by one neutral arbitrator unless the Parties agree otherwise.

The arbitrator may award any remedy available under applicable law and this Agreement but may not rewrite the Agreement. Judgment on the award may be entered in any court having jurisdiction.

57.3 Individual proceedings

To the maximum extent permitted by law, disputes shall be resolved only between the Parties individually.

Neither Party shall bring or participate in a class, collective, consolidated, or representative proceeding against the other unless applicable law prohibits enforcement of this restriction.

57.4 Exceptions

Either Party may seek judicial relief concerning:

misuse of intellectual property;
unauthorized Platform access;
breach of confidentiality;
data-security threats;
fraud;
temporary or preliminary injunctive relief; or
enforcement of an arbitration award.
57.5 Arbitration location

Unless otherwise agreed, arbitration shall occur in Fulton County, Georgia, or remotely when permitted by the arbitrator.

58

Governing law

This Agreement is governed by the laws of the State of Georgia, without regard to conflict-of-law rules, except where federal law governs.

For matters properly brought in court rather than arbitration, the Parties consent to exclusive jurisdiction in the appropriate state or federal courts located in Fulton County, Georgia, subject to applicable law.

59

Electronic contracting

The Parties agree that electronic records, electronic signatures, electronic acceptance, click-through acceptance, and electronic communications may be used to form and administer this Agreement.

Contractor agrees that its electronic acceptance has the same force and effect as a handwritten signature to the maximum extent permitted by law.

Unboot.me may retain electronic records identifying acceptance date, account, user, IP information where available, Agreement version, and related acceptance information.

60

Changes to this Agreement

Unboot.me may revise this Agreement to reflect:

legal or regulatory changes;
Payment Processor requirements;
Platform changes;
security needs;
new operational features; or
commercial changes.

For material changes affecting existing Contractors, Unboot.me will provide reasonable notice through the Platform, email, account notification, or another reasonable method.

Where legally required or where a material change requires affirmative consent, Unboot.me may require Contractor to accept the revised Agreement before continuing to use affected services.

61

Force majeure

Neither Party is liable for delay or failure caused by circumstances beyond its reasonable control, including natural disasters, severe weather, fire, war, terrorism, civil unrest, labor disruption, widespread internet failure, telecommunications outage, utility failure, governmental action, Payment Processor outage, cloud-provider outage, or similar events.

This Section does not excuse payment obligations that accrued before the event.

62

Order of precedence

If Contractor has an executed enterprise agreement, order form, data-processing agreement, or other written agreement expressly incorporated into this Agreement, inconsistencies will be resolved in the following order unless expressly stated otherwise:

1. signed negotiated amendment;
2. applicable order form;
3. applicable data-processing agreement for privacy matters;
4. this Contractor & Platform Services Agreement; and
5. incorporated operational policies or documentation.

Motorist-facing payment terms govern the relationship applicable to the Motorist’s transaction and do not displace Contractor’s obligations under this Agreement.

Payment Processor rules control the processor relationship where mandatorily applicable.

63

No third-party beneficiaries

Except for Unboot.me Indemnified Parties and other persons expressly granted enforcement rights under this Agreement, this Agreement does not create enforceable rights in any third party.

64

Severability

If a provision is held unlawful or unenforceable, it shall be enforced to the maximum extent permitted and modified only as necessary to make it enforceable.

The remaining provisions remain effective.

65

Waiver

Failure to enforce any provision does not waive that provision or any other provision.

A waiver must be express and applies only to the specific matter for which it is given.

66

Interpretation

Headings are for convenience only.

“Including” means “including without limitation.”

Words in the singular include the plural where appropriate.

This Agreement will not be construed against either Party solely because that Party drafted it.

67

Entire agreement

This Agreement, together with applicable incorporated documents, constitutes the entire agreement between the Parties concerning its subject matter and supersedes prior oral or written understandings concerning that subject matter.

No Contractor employee or sales representative may modify this Agreement unless the modification is authorized in writing in accordance with Unboot.me’s contracting procedures.

68
